ECOLOGICAL PROGRAM FOR THE PROCESSING OF PLANT AND ANIMAL FAT RAW MATERIALS FOR TECHNICAL PURPOSES AND LIQUID PHASES FROM THE DEPOLYMERIZATION AND REFORMING TECHNOLOGY OF THE BRAND E.R.V.O.
SUBJECT MATTER AND ESSENCE OF THE PROGRAM
The program consists of a set of SMART and MODULAR TECHNOLOGIES for the processing of oilseeds and treatment of vegetable and animal fats, both newly produced and already used (UFO). These are specialized technologies for small and medium-sized enterprises, creating conditions for maximum availability of technologies for the production of renewable raw materials for the chemical and biofuels industries in accordance with the principles of the Circular Economy of the European Union. The technologies are modular, which means that the individual modules of key elements can flexibly increase their capacity with minimal cost of the necessary infrastructure.
The subject of the program is to supply these technologies to the largest possible number of small and medium-sized agricultural primary producers in the form of their three-year lease with the possibility of subsequent purchase. Provide appropriate warranty and post-warranty service, operator training and information service on development trends and innovations in the field of renewable energy sources.
An integral part of this program is the creation of logistics and production centers COLLECTION POINT, which within a radius of 300-400 km will ensure the purchase and collection of raw materials. They are duly certified (ISCC, RED) and adapted for use in the production of BIOFUELS in the EU. The collection and treatment of UFOs (used frying oils), fats unsuitable for feed and food purposes, and the collection and treatment of trapping fats is already a stage of waste recycling.
COLLECTION POINT is a regional center that brings together local small and medium-sized producers, provides them with production purchases and stability to cover investment and operating costs associated with oilseed processing technologies, and provides them with services that are economically inaccessible to each individual producer and gains them access to new markets. The COLLECTION POINT center not only significantly expands the possibilities of using their production, but also has a significant ecological effect by reducing the need for non-renewable fossil resources in the economy.
In the first period, the COLLECTION POINT center also ensures the purchase of a liquid phase from E.R.V.O. from individual recycling units and deliveries for export. At the time when the supply of liquid E.R.V.O. phases will reach more than 1000 tons per month (production of 6-8 ERVO units in the area) COLLECTION POINT center begins its modification and delivery of products with appropriate certification for individual manufacturers in the chemical industry. The individual technologies gradually start using modules in individual stages of processing up to the full capacity of treatment and processing of 100 thousand tons per year.
COLLECTION POINT also acts as an educational center and service center for individual producers in the defined area and as a service center for repairs and warranty and post-warranty service of oilseed processing technologies.
The demand for these renewable fat sources and for the production of raw materials based on recycling has consistently exceeded supply for a long time, and therefore the realization of the above products at a fair price is ensured, it must be properly adjusted in terms of quality and must be properly certified.
We have created technical conditions for significantly faster expansion of technologies for processing and treatment of fat and waste raw materials. We are able to flexibly engage sufficient design and capacity for their production and supply. We have a sufficient capacity of professional and highly professional human resources, which are able to train all operating staff and staff providing service of the built production and processing capacities.
OBJECTIVES OF THE PROGRAM
To design a comprehensive solution for each center separately in the years 2020-2023. To acquire suitable real estate by purchasing or renting a suitable real estate for 48 years, certify it for use by the COLLECTION POINT center’s technologies. Newly, in connection with this real estate, build or modernize its existing material and technical base so that it fully technically meets the needs of individual projects.
The aim of the program is to ensure in the shortest possible time sufficient production and processing capacity in the range of at least 3000 tons of fatty raw materials per month and 2000 tons of liquid E.R.V.O. phase per month with the possibility of expanding these capacities to 8000 tonnes per month without the need for major investments in land and real estate.
The aim is to ensure the processing of project documentation in the form of a STUDY (BUSINESS INTENTION) and subsequently a DESIGN BASE for the construction and production of structures, equipment and technical infrastructure in cooperation with selected and for the COLLECTION POINT program certified local partners. In cooperation with local design capacities, ensure the processing of DETAIL DESIGN and, after its approval, follow-up production and design documentation so that it fully complies with local legislative conditions for production, construction of equipment and relevant infrastructure and operating conditions of the COLLECTION POINT logistics and production center.
The aim of the program is to build a legal framework for each individual sub-project so that it is built and operated in the given locality in cooperation with minority co-owners, under the direct control of Jan Stuna & Co (JSCO) or through subsidiaries established for this purpose. So that this legal framework protects the interests of investors and co-owners and minimizes the investment risks associated with the site.
The aim of the program is to build and operate 5 COLLECTION POINT centers with an annual capacity of 500,000 tons of treated and certified raw material in the shortest possible time.
PROGRAM IMPLEMENTATION
The holder of the program is the company JSCO, which acts as a developer, general contractor and coordinator of international design and production cooperation. For each individual project, it establishes a legal entity where it holds at least 51 % of ownership shares and the rights of potential local partners are clearly defined by the partnership agreement or articles of association. In accordance with the interests of investors, it limits the management of real estate in individual locations. Real estate forms the basis of a system of pledges and guarantees. JSCO supervises the preparation and implementation of sub-projects and the project as a whole.
JSCO is the administrator of the system of financing individual projects using the COLLECTION POINT center technologies, which according to individual locations is a combination of various non-banking and banking sources for the implementation of investment projects and securing financing for their operation. It ensures the maximum use of potential subsidies, which in some localities can reach up to 40 % of the value of the total investment. JSCO is responsible for the efficient use of all financial resources. JSCO decides on their earmarked and phased release of financial resources on the basis of approved investment plans and feasibility studies prepared for each COLLECTION POINT and on the basis of evidence and its own supervision at the place of project implementation.
The program is implemented with selected contractual suppliers of COLLECTION POINT technologies, which have granted JSCO exclusive rights for the given territory or a specific sub-project. Furthermore, the program is implemented with other certified suppliers of equipment and services, completing a comprehensive solution for each individual project in a given location in order to optimize investment costs.
The preparation of the program and its subsequent implementation in the given locality is directly managed and ensured by the management of the controlled subsidiary on the basis of the investment plan and the stages and implementation rules set by it. The subsidiary provides certification of COLLECTION POINT facilities, cooperates with local authorities, ensures local production cooperation and supplies of all necessary services for the implementation of the investment project and the operation of COLLECTION POINT and the relevant infrastructure. The subsidiary is responsible for securing fat raw materials and E.R.V.O. liquid phase for maximum utilization of COLLECTION POINT technologies and for the quality and adequacy of local human resources and for the liquid phase storage and dispatch system. The subsidiary is responsible for the implementation of the solid phase in the local market, unless the JSCO system requires its delivery for further processing and export. The subsidiary is responsible for the possible use of the subsidy and subsidy titles approved for the given location.
OBJECTIVE, SCOPE AND TIMELINESS OF THE BASIC PHASE OF THE 2020-2023 PROGRAM
The intention of the program is to provide financial resources in 2020-2021 for the construction and operation of two COLLECTION POINT centers in 2021.
Furthermore, the intention of the program is to provide financial resources in 2021-2022 for the construction and operation of two COLLECTION POINT centers in new locations in 2022. In 2022-2023, secure financial resources for the construction and operation of one COLLECTION POINT center in a new location in 2023.
This provides the basic framework and scope of the program, the development of which is currently limited by the ability to secure sufficient sources of funding. The investment limit for each COLLECTION POINT with the relevant infrastructure based on the study carried out is 15 million EUR. The extent of the need to secure financing for the basic phase of the construction of the COLLECTION POINT centers thus amounts to 75 million EUR.
The study showed that in addition to the maximum investment limit per COLLECTION POINT center, the maximum timeliness for return on investment can also be set at 6 years. The return on investment is based on the customer’s guarantee from the JSCO system that it is able to purchase 100% of the production of certified fat raw materials and treated liquid phase at a price that guarantees this return. Subsidies are not envisaged at this stage, although every effort will be made to use them.
JSCO must combine and coordinate the investment of bank and non-bank resources and their gradual repayment over time, so that the resources are used with maximum efficiency, strategic goals are achieved in the shortest possible time, while fully satisfying the interests of all investors and co-owners of the program.
WARRANTIES AND GUARANTEES
All investments will be secured primarily by the real estate and movable property in question. In the subsequent phase, they will be secured by stocks of fatty raw materials, treated liquid phases and receivables from product deliveries. In the case of movable and immovable property, the lien may be strengthened by notarization.
The subject of the pledge will also be tied property shares of individual entities ensuring the operation of the COLLECTION POINT center.
Individual investments exceeding the value of 1 million CZK will then be secured by COLLECTION POINT promissory notes.

ECOLOGICAL PROGRAM FOR RECYCLING OF INDUSTRIAL AND MUNICIPAL WASTE BASED ON DEPOLYMERIZATION AND REFORMING TECHNOLOGY OF THE BRANDE.R.V.O.
SUBJECT MATTER AND ESSENCE OF THE PROGRAM
The subject of the program is a globally unique complex technological procedure applied in the technology of E.R.V.O., developed in accordance with the principles of the Circular Economy of the European Union designed for the processing of unsorted waste of all types with the maximum possible efficiency. Technology E.R.V.O. comprehensively processes any waste and extracts from it all organic materials, which it processes into such a form that it is possible to reuse them as a basic raw material in production, as a 100% replacement of the original fossil resources. There is no limit to the number of repetitions of such cycles. Waste can be unsorted as well as contaminated and can contain unlimited inorganic impurities. Technology E.R.V.O. processes waste into liquid, gaseous and solid phases. The subject of further use and industrial recycling is mainly treated or untreated liquid phase and solid phase. The gas phase is used as an energy source for the depolymerization and reforming process itself.
Today, the conditions are already defined by law for manufacturers to be forced to use the liquid phase from E.R.V.O. for its production and therefore the real need for this recycled raw material is in the order of millions of tons per year and the need will always exceed the supply in the next 10 years.
To significantly expand the technology of E.R.V.O. we have created technical conditions. We are able to involve sufficient design and production capacity. We have a sufficient capacity of professional human resources, who are able to train all operating staff and staff providing service of built production capacities.
As part of the program, we will build teams of managers according to individual locations, ensuring the implementation of individual projects and supervision of processes, so that the entire system works as efficiently as possible.
OBJECTIVE OF THE PROGRAM
In the years 2020-2023, design a comprehensive solution for each individual project, acquire suitable property for purchase for 48 years or lease it for 48 years, and certify it for the use of ERVO technology. to fully meet the needs of sub-projects.
The aim of the program is to support the creation of sufficient production capacity with E.R.V.O. and create capacity for subsequent warranty and post-warranty service for a period of at least 10 years after the installation of the technology. Ensure timely and quality production of E.R.V.O. and then supply these together with other equipment necessary for the operation of E.R.V.O. according to sub-projects to the destination and ensure their commissioning as soon as possible and the fulfillment of their capacity to the maximum level.
Ensure the elaboration of relevant STUDIES (BUSINESS INTENTIONS), elaboration of project documentation in the form of BASE DESIGN for the construction and production of structures, equipment and technical infrastructure in cooperation with selected and for the program E.R.V.O. certified local partners. In cooperation with local design capacities, ensure the subsequent processing of the DETAIL DESIGN and, after its approval, follow-up production and design documentation so that it fully complies with local legislative conditions for the production, construction and operation of E.R.V.O. recycling units.
Create a legal framework for each individual sub-program so that the ECO ERVO CENTRUM is built and operated in the given locality in cooperation with minority co-owners, under the direct control of Jan Stuna & Co (JSCO) or through subsidiaries established for this purpose.
The goal of the program is to build and operate 67 E.R.V.O. units in the shortest possible time, with annual capacity of 100,000 tons of liquid phase in 17 ECO ERVO CENTERS, so that it is possible to ensure the adjustment of the liquid phase and its certification for various types of production with the help of our own COLLECTION POINT CENTER and thus obtain higher added value and faster return on all investments.
Subprojects of E.R.V.O. units will then be offered for subsequent sale on the condition that the new owner must supply all the liquid phase to the JSCO system and that he undertakes to provide all technical online data from the operated E.R.V.O. units and from laboratory analyzes to support innovations related to this technology. The capital thus obtained can then be used for further faster dissemination of E.R.V.O.
PROGRAM IMPLEMENTATION
The bearer of the program is the company JSCO, which acts as a developer, general contractor and coordinator of international design and production cooperation. For each individual project, it establishes a legal entity where it holds at least 51 % of ownership shares and the partnership agreement or articles of association clearly define the pre-approved rights of potential local partners. In accordance with the interests of investors, it limits the management of real estate in individual locations. Real estate forms the basis of a system of pledges and guarantees. JSCO supervises the preparation and implementation of sub-projects and the project as a whole.
JSCO is the administrator of the system of financing individual projects of E.R.V.O. technologies, which according to individual localities is a combination of various non-banking and banking sources for the implementation of investment projects and securing financing for their operation. It ensures the maximum use of potential subsidies, which in some localities can reach up to 40 % of the value of the total investment. JSCO is responsible for the efficient use of all financial resources. JSCO decides on their targeted and phased release on the basis of approved investment plans and feasibility studies prepared for each site and case individually, and on the basis of evidence and its own supervision at the place of implementation of the program.
The program is implemented with selected contractual suppliers of E.R.V.O. who have granted JSCO exclusive rights for a given territory or specific sub-project. Furthermore, the project is implemented with other certified suppliers of equipment and services, completing a comprehensive solution for each individual project in a given location in order to optimize investment costs.
The preparation of the project and its subsequent implementation in the given locality is directly managed and ensured by the management of the controlled subsidiary on the basis of the investment plan and the stages and implementation rules set by it. The subsidiary provides certification of facilities for the operation of the E.R.V.O. recycling system, cooperates with local authorities, ensures local production cooperation and supplies of all necessary services for the implementation of the investment project and the operation of E.R.V.O. and relevant infrastructure. The subsidiary is responsible for securing waste materials for the maximum utilization of E.R.V.O. It is responsible for the quality and adequacy of local human resources and for the liquid phase storage and dispatch system. The subsidiary is responsible for the implementation of the solid phase in the local market, unless the JSCO system requires its delivery for further processing and export. The subsidiary is responsible for the possible use of the subsidy titles approved for the given location.
INTENTION, SCOPE AND TIMELINESS OF THE BASIC PHASE OF THE 2020-2023 PROGRAM
The intention of the program is to provide financial resources in 2020-2021 for the construction and operation of 8 individual projects with one unit E.R.V.O. in 2021 for various types of waste, so that these units serve not only to produce a basic amount of liquid phase, but also to serve as demonstration centers for potential clients and local partners interested in the introduction of this technology.
Furthermore, the intention of the program is to provide financial resources for the construction and operation of 20 E.R.V.O. units in 2021-2022. In 2022 by expanding capacities in existing sites and opening new sites. In 2022-2023, secure financial resources for the construction and operation of 39 E.R.V.O. units and in 2023 by expanding capacities in existing sites and opening new sites. This should complete the first basic phase of the E.R.V.O. for the industrial recycling of waste in the range of production of 100,000 tons of liquid phase per year, which will enable further efficient treatment and recovery of the liquid phase. This will create the conditions for the expansion of the technology to produce the first million tons of liquid phase with the help of 670 E.R.V.O. units installed and operated in different countries. This will lay the foundations for a whole new sector of industrial recycling.
The basic framework and scope of the program is determined by the above capacities and its construction and development is currently limited by the ability to secure sufficient sources of funding. Investment limit for each unit E.R.V.O. with the relevant infrastructure on the basis of the study carried out is 3.5 million EUR. Extent of the need to provide financing for the basic phase of the use of E.R.V.O. for industrial recycling thus amounts to 235 million EUR.
The study showed that in addition to the maximum investment limit per unit of E.R.V.O. it is also possible to set a maximum time for return on investment of 6 years. The return on investment is based on the guarantee of the manufacturer and the author of the technology that each unit is able to produce 5 tons of liquid phase in 24 hours. On the customer’s guarantee from the JSCO system that he is able to buy 100% of the liquid phase production at a price that guarantees this return. Resources from solid phase sales, recycling and waste disposal fees only strengthen this 6-year return on investment limit. Subsidies are not foreseen at this stage, although every effort will be made to use them.
JSCO must combine and coordinate the investment of bank and non-bank resources and their gradual repayment over time, so that the resources are used with maximum efficiency, to achieve strategic goals in the shortest possible time, while fully satisfying the interests of all investors and co-owners of the program.
WARRANTIES AND GUARANTEES
All investments will be secured primarily by the real estate and movable property in question. In the subsequent phase, the liquid phase reserves and the liquid and solid phase supply receivables.
In the case of movable and immovable property, the lien may be strengthened by notarization.
The subject of the pledge will also be tied property shares of individual entities ensuring the operation of E.R.V.O. units.
Individual investments exceeding the value of 1 million crowns will then be secured by E.R.V.O. blank bills of exchange.
